How to Prepare for a Contract Renewal

Preparing for a contract renewal starts well before the expiry date. Most vendor and software contracts include a notice period, commonly 30 to 90 days, within which you must act if you want to renegotiate or exit. Missing that window usually means accepting another term on existing terms by default. The earlier preparation begins, the more options the team has.

A straightforward renewal preparation process looks like this:

  1. Identify the deadline. Confirm the contract end date and the notice period required to cancel or renegotiate. Working back from that notice period deadline gives you the latest date by which a decision needs to be made, and ideally preparation starts 30 to 60 days before even that point.
  2. Review current performance. Before renewing, assess whether the vendor has delivered against the terms of the agreement. For software tools, this means checking actual usage data: how many licensed seats are being actively used, whether the tool is still solving the problem it was bought for, and whether IT has received complaints or raised concerns. For service vendors, look at delivery quality, support responsiveness, and any unresolved issues.
  3. Check whether pricing is still competitive. Vendor pricing changes over time; what was negotiated two or three years ago may no longer reflect the market. A quick review of comparable options gives context for the renewal conversation and strengthens negotiating leverage, particularly for software where pricing benchmarks are more accessible.
  4. Evaluate whether the scope still fits. Usage and business needs change. If the number of licenses, the scope of services, or the volume of resources in the current contract no longer matches actual requirements, the renewal is an opportunity to right-size the agreement rather than carry unused spend into another term.
  5. Decide and act within the window. Based on the above, make a documented decision: renew on existing terms, renegotiate specific elements, or exit. That decision needs to be communicated to the vendor within the required notice period.

For IT and finance teams managing multiple vendor and software contracts simultaneously, tracking all of these steps for every agreement is where informal processes tend to break down. Building renewal preparation into a repeatable workflow, with alerts set well ahead of notice deadlines, makes the process manageable as the portfolio grows.

License Logic automates renewal alerts and surfaces the contract data teams need to prepare, without having to dig through files or chase down the original agreement.
