LICENSE LOGIC SERVICES AGREEMENT

This Services Agreement (“Agreement”) is entered into between License Logic, Inc. (“License Logic”) and the entity or individual accepting this Agreement (“Customer”). This Agreement is effective as of the earlier of the date Customer accepts this Agreement via the License Logic Subscription Page or signs an applicable Order Form (“Effective Date”). By registering for a trial, subscribing to License Logic’s services, or accessing the platform, Customer agrees to be bound by this Agreement.
1. Subscription and Services
License Logic grants Customer a limited, non-exclusive, non-transferable, subscription-based license to access and use the License Logic platform (the “Services”) for internal business purposes during the term set forth in the Order Form or Subscription Page. Additional services such as onboarding or support may be included based on Customer’s selected plan or a separately executed Statement of Work.
2. Customer Account and Access
Customer is responsible for maintaining the confidentiality of its account credentials and is liable for all activities under its account. Customer agrees to notify License Logic immediately upon becoming aware of any unauthorized access or breach.
3. Users
“Users” refers to individuals authorized by Customer to access the Services. Customer is responsible for all actions of its Users and for ensuring compliance with this Agreement.
4. Fees and Payment
Customer agrees to pay all fees as specified in the applicable Order Form or Subscription Page. Payments may be invoiced or charged to a credit card as agreed. All fees are non-refundable unless otherwise stated. Late payments may incur interest at 1.5% per month. All fees exclude applicable taxes.
5. Free Trials
License Logic may offer Services on a trial basis. Trial access is limited to evaluation purposes and may be terminated by License Logic at any time. Data entered during the trial may be lost unless a paid subscription is initiated before trial expiration.
6. Prohibited Uses
Customer agrees not to:
- Reverse engineer or create derivative works of the Services
- Use Services to compete with License Logic
- Use Services for any unlawful or unauthorized purpose
- Access Services via automated scripts or scraping
- Share access with unauthorized third parties
7. Customer Data
Customer retains all rights to data submitted to the Services (“Customer Data”). License Logic will use Customer Data solely to provide and improve the Services, in accordance with applicable laws including GDPR where applicable. De-identified and aggregated data may be used by License Logic for analytics and service improvement. Upon termination, Customer Data will be permanently deleted within 30 days unless earlier deletion is requested.
8. Third-Party Services
The Services may integrate with third-party tools, including identity providers (Microsoft Entra ID, Okta, Google Workspace) and financial platforms (Ramp). License Logic is not responsible for the functionality or data handling practices of third-party services. Use of these tools is subject to their respective terms.
9. AI Features
Some Service features use AI to process uploaded documents and categorize applications. Specifically, uploaded contract documents may be processed by Google Gemini API or OpenAI API for text extraction, and application names may be classified using Anthropic’s Claude API. By using these features, Customer acknowledges that outputs are suggestions only and accepts full responsibility for decisions made based on them. License Logic does not train AI models using Customer Data. Contract text is processed transiently by AI providers and is not stored by them.
10. Intellectual Property
License Logic retains all ownership rights to its software, platform, and associated intellectual property. Customer may not use License Logic branding without prior written consent. Feedback submitted by Customer may be used by License Logic without restriction.
11. Confidentiality
Each Party agrees to protect the other’s confidential information and not to disclose it to any third party, except as required by law. This section survives termination of this Agreement.
12. Subprocessors
License Logic uses third-party service providers (“Subprocessors”) to deliver the Services. A current list of Subprocessors is maintained on our website and available upon request. License Logic will notify Customer of material changes to its Subprocessor list at least 14 days in advance. All Subprocessors are bound by data processing agreements with security and confidentiality obligations.
13. Warranties and Disclaimers
Each Party warrants it has authority to enter into this Agreement. The Services are provided “as is” and License Logic disclaims all warranties not expressly stated, including implied warranties of merchantability or fitness for a particular purpose.
14. Limitation of Liability
License Logic’s liability arising out of or related to this Agreement shall not exceed the fees paid by Customer in the twelve (12) months prior to the incident. License Logic shall not be liable for any indirect, consequential, or punitive damages.
15. Indemnification
Customer agrees to indemnify License Logic from third-party claims arising from Customer Data, or Customer’s misuse of the Services. License Logic will indemnify Customer against third-party IP infringement claims as related to the unmodified Services.
16. Data Protection
License Logic processes Customer Data in accordance with its Privacy Policy and, where applicable, a separately executed Data Processing Agreement (DPA). For international data transfers, License Logic relies on Standard Contractual Clauses (SCCs) and applicable safeguards. Customer may request a DPA at any time by contacting security@licenselogic.co.
17. Term and Termination
This Agreement remains in effect until the expiration or termination of all active subscriptions. Either Party may terminate with 30 days’ notice for material breach if not cured. Upon termination, Customer will stop using the Services and License Logic will delete Customer Data within 30 days.
18. Miscellaneous
This Agreement constitutes the entire agreement between the parties. Any notices shall be delivered to the addresses provided in the Order Form or Subscription Page. This Agreement is governed by the laws of the State of Delaware, without regard to conflicts of law. Neither Party may assign this Agreement without the other’s written consent, except in the event of merger or acquisition. License Logic shall not be held liable for delays due to causes beyond its control (“Force Majeure”).
